B2B SALES AND PRODUCTION TERMS AND CONDITIONS

This text has been prepared to define the general principles regarding all sales, production, and collaboration processes carried out between Greenloom and corporate clients.

 

1. Scope

 

All products and services offered by Greenloom are considered custom-made (B2B) for corporate clients. Therefore, these transactions are not considered distance sales or retail consumer sales under the Law No. 6502 on Consumer Protection.

 

2. Custom-Made Nature

 

All products offered by Greenloom are:

• Customized to corporate identity

• Adapted in terms of size, color, material, and logo

• Planned specifically for the project

 

custom-made.

 

Therefore, there is no right to cancel, return, or withdraw from orders for products that have been confirmed.

 

3. Order and Confirmation Process

 

Orders;

• Written offer

• Sample approval

• Technical specifications

• Written approval via email or contract

 

will be finalized after this. Production will not begin without written approval.

 

4. Pricing

 

Prices are determined according to:

• Production quantity

• Material type

• Labor

• Brand adaptations

• Delivery time

 

and are limited to the offer period. Greenloom reserves the right to update prices depending on cost changes.

 

5. Payment Terms

 

Payment terms will be specified in the offer or contract agreed upon between the parties. Unless otherwise specified:

• Advance payment before production

• Balance payment after production

 

will be taken as the basis. Delivery will not be made until payment is completed.

 

6. Delivery Time

 

Delivery times are estimates and may vary due to:

• Supply chain

• Material supply

• Production capacity

• Force majeure

 

Greenloom cannot be held liable for indirect damages arising from reasonable delays.

 

7. Sample and Product Acceptance

 

Products for which sample approval has been obtained are considered the reference for production. Conformity to the sample is the basis for delivered products. Subsequent objections based on preference for products conforming to the accepted sample are not valid.

 

8. Intellectual Property and Confidentiality

 

The client's logo, design, and corporate materials will only be used within the scope of the relevant project.

The parties undertake not to share commercial and technical information obtained during the project with third parties.

 

9. Limitation of Liability

 

Greenloom's liability is limited only to the products and services covered by this contract. No liability is accepted for indirect damages, loss of profits, or reputational damage claims.

 

10. Applicable Law and Jurisdiction

 

In any dispute arising from these terms, the laws of the Republic of Turkey shall apply, and the Istanbul Courts and Enforcement Offices shall have jurisdiction.
